Website Design Terms & Conditions

These Terms & Conditions apply to website design, development, SEO/GEO/AEO and related digital services supplied by vineyardtags.uk, trading as Vineyard & Orchard Digital ("we", "us") to you ("the Client").

1. Scope of Services

The services to be provided will be set out in a written proposal, statement of work, or quotation ("the Proposal"). Anything not listed in the Proposal is out of scope and may be quoted separately.

2. Client Responsibilities

The Client agrees to:

  • Provide accurate brief, content, images, logos and access in a timely manner;
  • Hold all rights or licences to materials supplied to us;
  • Review and respond to drafts within the agreed timeframes;
  • Nominate a single point of contact for approvals.

3. Content Supplied by Client

The Client warrants that all content supplied is lawful, accurate, non-infringing and does not breach any third-party rights. The Client indemnifies us against any claims arising from content they supply.

4. Project Timelines

Timelines in the Proposal are estimates given in good faith and depend on the Client supplying materials and feedback promptly. We are not liable for delays caused by the Client or third parties.

5. Revisions

Each Proposal will state the number of rounds of revisions included. Additional revisions, or changes to previously approved work, will be charged at our standard rate of [INSERT HOURLY RATE].

6. Delays Caused by the Client

If the project is delayed for more than 30 days due to the Client's inaction, we may invoice for work completed to date and place the project on hold. Restarting may incur a re-mobilisation fee.

7. Intellectual Property

  • On full payment, the Client owns the final website design, custom code and content we create specifically for them.
  • We retain ownership of pre-existing tools, frameworks, templates, libraries and know-how, and grant the Client a non-exclusive licence to use them as part of the deliverable.
  • Third-party assets (fonts, plugins, stock imagery) remain governed by their own licences.
  • We may display the completed work in our portfolio and case studies unless the Client requests otherwise in writing.

8. Payment Terms

  • A non-refundable deposit (typically 50%) is payable before work begins.
  • The remaining balance is payable before final launch or as set out in the Proposal.
  • Invoices are payable within 14 days of issue.
  • Prices exclude VAT (we are not currently VAT-registered).

9. Late Payment

We reserve the right to charge interest and reasonable costs on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998. We may suspend work and access to deliverables until payment is received.

10. Cancellation

  • Deposits are non-refundable once work has commenced.
  • If the Client cancels mid-project, they will be invoiced for all work completed plus any third-party costs incurred.
  • We may terminate the agreement if the Client materially breaches these Terms or fails to pay an invoice when due.

11. SEO, GEO & AEO Services

We use reputable, ethical optimisation practices. Search rankings, traffic, leads and conversions depend on factors outside our control (search engine algorithms, competitor activity, market conditions). No outcome, ranking, traffic, lead, sale or commercial result is promised or guaranteed.

12. Limitation of Liability

Nothing limits liability that cannot be excluded by law. Subject to that:

  • We are not liable for indirect, special, consequential, or punitive losses;
  • We are not liable for loss of profit, revenue, business, goodwill, anticipated savings or data;
  • Our total liability for any claim is capped at the fees paid by the Client in the 6 months immediately preceding the claim.

13. Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including but not limited to: internet outages, hosting failures, cyber attacks, strikes, pandemics, war, natural disasters, or actions of governments or regulators.

14. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of the engagement.

15. Governing Law

These Terms are governed by the laws of England and Wales and disputes are subject to the exclusive jurisdiction of its courts.
